Vygor Health Terms of Service

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY CREATING AN ACCOUNT, ACCESSING, OR USING ANY VYGOR HEALTH SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

1. DEFINITIONS

“Vygor Health,” “we,” “our,” and “us” refer to Vygor Health, Inc.

“Services” refers to the Vygor Health mobile applications, websites, platforms, programs, AI-generated wellness insights, content, and all related services.

“User,” “you,” and “your” refer to any individual who accesses or uses the Services.

“Content” includes text, images, video,audio, analytics, recommendations, AI outputs, and all other materials made available through the Services.

2. ELIGIBILITY

You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you meetthis requirement, that you are legally competent, and that you agree to these Terms.

3. DESCRIPTION OF THE SERVICES

Vygor Health provides digital tools designed to assist with wellness insights, nutrition tracking, activity guidance, coaching, and personalized recommendations generated through machine learning and AI algorithms. These tools are for informational and educational purposes only.

Vygor Health is NOT a healthcare provider,does NOT provide medical advice, and is NOT a substitute for professional medical diagnosis, treatment, or individualized clinical guidance.

4. USE AT YOUR OWN RISK (VERY IMPORTANT)

You acknowledge and agree that:

a. No Medical Advice  

The Services do not constitute medical advice, mental health advice, or clinical care. You must consult a qualified healthcare provider before making any decisions relating to diet, exercise,supplements, or other health changes.

b. AI-Generated Content Disclaimer  

AI-generated recommendations may be incomplete, inaccurate, or unsuitable for your specific condition. Vygor Health makes no guarantees regarding the accuracy or safety of AI outputs.

c. Physical Risk  

Diet, exercise, and wellness routines carry inherent risks. You assume all responsibility for your voluntary participation in any activities suggested or implied by the Services.

d. Release of Liability  

To the fullest extent permitted by law, yourelease Vygor Health from any claims, injuries, damages, or losses arising from your reliance on the Services, including AI-generated insights.

5. ACCOUNT REGISTRATION AND SECURITY

You agree to:

• Provide accurate and complete information  

• Maintain the confidentiality of your account credentials  

• Notify Vygor immediately of any unauthorized access  

You are solely responsible for all activities conducted under your account.

6. USER CONDUCT AND RESPONSIBILITIES

You agree NOT to:

• Use the Services for unlawful or fraudulent purposes  

• Share misleading, harmful, or inappropriate data  

• Attempt to access accounts or data not belonging to you  

• Modify, reverse-engineer, or disrupt the Services  

• Use the Services to provide medical advice to others  

• Upload content that infringes intellectual property rights  

Vygor may suspend or terminate your account for violation of these Terms.

7. THIRD-PARTY INTEGRATIONS (COACHES, GYMS,EMPLOYERS, HEALTH PLANS)

You may choose to link your account with third-party programs, including:

• Coaches

• Gyms or fitness centers  

• Employer wellness programs  

• Insurance or health plan programs  

• Telehealth companies  

If you do so:

• You grant permission for Vygor to share your selected personal data with the third party  

• Vygor is not responsible for the data practices of the third party  

• You may revoke access at any time  

8. APPLE HEALTHKIT AND OTHER HEALTH DATASOURCES

If you connect Apple HealthKit or similar APIs:

• Vygor accesses only the data you explicitly allow  

• Vygor does not use HealthKit data for advertising, data brokerage, or selling  

• HealthKit data is used ONLY to improve your wellness experience or for health-related features  

• You may disable access at any time through your device settings  

9. PAYMENTS, SUBSCRIPTIONS, AND BILLING

Some Services require payment. By subscribing, you agree to:

a. Automatic Renewal  

Subscriptions automatically renew unless canceled at least 24 hours prior to renewal.

b. Billing Authorization  

You authorize Vygor and its payment processors to charge your payment method for fees, taxes, or other charges.

c. Refund Policy  

Purchases made via Apple or Google must be refunded through those platforms. Vygor cannot process store refunds directly.

d. Price Changes  

Vygor may modify subscription prices with advance notice as required by law.

10. LICENSE GRANT AND RESTRICTIONS

Vygor grants you a limited, non-exclusive,non-transferable license to use the Services for personal, non-commercial purposes.

You may NOT:

• Copy, modify, or distribute the Services  

• Develop competing products using Vygor intellectual property  

• Use bots, scrapers, or automated tools to access the Services  

• Rent, lease, or sublicense the Services  

11. OWNERSHIP AND INTELLECTUAL PROPERTY

All intellectual property—including algorithms, AI models, trademarks, software, and content—is owned by VygorHealth or its licensors. You gain no ownership rights through your use of theServices.

12. TERMINATION OF USE

Vygor may suspend or terminate your access for any reason, including:

• Violations of these Terms  

• Fraudulent behavior  

• Legal or security concerns  

Upon termination:

• Your license immediately ends  

• Your data will be handled according to the Privacy Policy  

• You must cease all use of theServices  

13. DISCLAIMERS

THE SERVICES ARE PROVIDED “AS IS” WITHOUT ANY WARRANTIES OF ANY KIND.  

VYGOR DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ANDNON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• The Services will be accurate, reliable,uninterrupted, or error-free  

• AI-generated insights will meet your expectations  

• The Services are safe for your specific health conditions  

14. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• VYGOR IS NOT LIABLE FOR ANY INDIRECT,INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES  

• VYGOR IS NOT LIABLE FOR HEALTH-RELATED DAMAGES ARISING FROM DIET, EXERCISE, OR WELLNESS DECISIONS  

• TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) $100 OR (B) AMOUNTS PAID BY YOU IN THE PAST 12 MONTHS  

Some jurisdictions do not allow certain limitations; these may not apply to you.

15. INDEMNIFICATION

You agree to indemnify and hold harmless Vygor Health and its officers, employees, and partners from any claims arising out of:

• Your use of the Services  

• Your violation of these Terms  

• Your interactions with third-party partners  

16. DISPUTE RESOLUTION AND ARBITRATION

Any disputes arising from your use of the Services shall be resolved through **binding arbitration** administered under the rules of the American Arbitration Association, except where prohibited bylaw.

YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.

17. GOVERNING LAW
